Of the Meeting of Governing Council of Millennium Challenge Account - Armenia
held on February 6, 2007
Due to absence of quorum necessary to conduct meeting on February 2, 2007, the meeting did not take place.
The meeting was chaired by Andranik Margaryan, the Prime Minister of the Republic of Armenia and the Chairman of the MCA-Armenia Governing Council.

The following items were included in the meeting agenda:
1. Discussion and approval of RFP and qualified participants list (shortlist) for "Consulting Services for Review and Improvement of Performance-based roads routine maintenance system".
2. Discussion and approval of combined technical-financial evaluation results of tender proposals for "Consulting Services For Environmental /Hydrological Baseline Study of Wetlands in Ararat valley.
3. Discussion and approval of Evaluation Committee structure, Requests for Proposals (tender documents), list of pre-qualified consultants (shortlist) for selection of company to implement "Consulting Services for Environmental and Social Assessment and Oversight".
4. Discussion and approval of final draft of Implementing Entity Agreement to be signed between MCA-Armenia SNCO and Water Sector Development and Institutional Improvements PIU SI.
5. Discussion and approval of final draft of Consulting Services Contract to be signed between MCA-Armenia SNCO and ACDI/VOCA (USA), ARCADIS Euroconsult (Holland) jointly with VISTAA (Armenia).
6. Discussion and approval of Expression of Interests and Evaluation Committee structure for selection of pre-qualified companies for construction works supervision consultancy services for MCA-Armenia Rural Roads Rehabilitation Project, 1-st package.
7. Other issues:
a. Information on including Human Resources specialist position in the staffing list of MCA-Armenia SNCO
b. Discussion of an issue of equal rights in respect of confidentiality principle for all members of Governing Council.
Resolutions:
1. As to the first item on the Agenda, it was decided to approve the wording of RFP for "Consulting Services for Review and Improvement of Performance-based roads routine maintenance system" and qualified participants list (shortlist).
2. As to the second item of the Agenda it was decided to assign MCA-Armenia carry out additional study of legal status of companies, submitted their proposals for "Consulting Services For Environmental /Hydrological Baseline Study of Wetlands in Ararat valley, the legal status of AUA Environmental Protection Research Center, in particular and submit for Governing Council next meeting discussion.
3. As to the third item of the Agenda, it was decided to approve the wording of Requests for Proposals, list of pre-qualified consultants (shortlist) and Evaluation Committee structure for selection of company to implement "Consulting Services for Environmental and Social Assessment and Oversight".
4. As to the fourth item of the Agenda, it was decided to approve the text of draft Implementing Entity Agreement to be signed between MCA-Armenia SNCO and Water Sector Development and Institutional Improvements PIU SI on condition that before signing the contract MCC, Ministry of Finance and Economy and Contract Parties reach mutual agreement regarding Clause 8.6.· /8.6.c in English version/ of the Agreement.
5. As to the fifth item of the Agenda it was decided to approve the text of draft Consulting Services Contract to be signed between MCA-Armenia SNCO and ACDI/VOCA (USA), ARCADIS Euroconsult (Holland) jointly with VISTAA (Armenia) on the condition that before signing the Contract:
1) to reach mutual agreement between MCC, RA Ministry of Finance and Economy and Contract Parties on Appendix ? /Appendix F in English version, MCC Status; Reserved Rights; Third-Party Beneficiary;
2) MCA-Armenia SNCO shall study and submit a conclusion on including possible provision/provisions related to responsibilities of Contract Parties.
6. As to the sixth item of the Agenda it was decided to approve the text of Expression of Interests and Evaluation Committee structure for selection of pre-qualified companies for construction works supervision consultancy services for MCA-Armenia Rural Roads Rehabilitation Project, 1-st package.
7. As to the seventh item of the Agenda it was decided to:
a) take into account the information on including Human Resources specialist position in the staffing list of MCA-Armenia SNCO;
b) assign Deputy Minister of Finance and Economy D. Avetisyan study the issue of equal rights in respect of confidentiality principle for all members of Governing Council, raised by member of Governing Council N. Vardanyan and report during the next meeting.
The meeting was over when all agenda issues were addressed.
